Services giúp thành lập & run công ty
Tại Mỹ:
- LegalZoom good for LLC. Em làm vài lần, ko vấn đề gì.
- Cho Delaware C-corp startup thì em thấy 2 cái nổi bật nhất là Stripe Atlas với Clerky. Sau khi nghiên cứu thì em chọn Clerky vì thấy nó giúp được nhiều documents khác ngoài chuyện incorporation. Stripe Atlas popular với non-US founder vì ko cần US bank vẫn làm được.
- Về Clerky:
- Its website is fast, responsive, and the UI is easy to follow.
- It not only helps you incorporate, but it also allows you to perform many post-incorporation tasks like filing 803(b), creating and tracking stock plans, creating and managing employee/consultant contracts, etc. Its set of document templates has probably saved me thousands of dollars on attorney fees.
- It has a mode in which you can hire somebody to follow and verify most of the process, then you can just read the summary and sign.
- Its pricing is reasonable and transparent. I never feel like it tried to pull tricks on me.
- vs Stripe Atlas:
- When I first started I signed up for Stripe Atlas, but never used it much. Being a Stripe product, it's more about helping you get paid (so that Stripe could get its cuts) than getting legal paperwork done. Atlas doesn't even do the legal paperwork by itself, but outsource it to in my case LegalZoom.

For Vietnam, there are many registration & accounting services companies such as https://ketoananpha.vn/ but their flow might not be as automated. Also given the quality needed & salary scale in Vietnam, series A-B startups can already recruit an in-house paralegal / senior admin to take care of this scope.

Start-up Risks
Risk startup bị sập ko phải là risk lớn nhất. Em chỉ nêu ra 2 risks mà em nghĩ là cao cho những startup hiện tại:
- Underwater Option: Strike price của các startup được tính dựa theo 409A value (fair market value). Thường thì strike price sẽ khoảng 1/3 - 1/4 của preferred price. Option có asymmetrical risk tức là valuation của startup giảm 2 lần thì có khi dẫn đến option value giảm 4 lần; valuation của startup giảm 3 - 4 lần thì option coi như giấy vụn (underwater)
- Preferred Stack: Cái khác giữa VC và nhân viên là VC lấy preferred stock (with liquidity preference) còn nhân viên lấy common stock. Đại loại là VC sẽ được chọn lấy liquidity preference (1x tức là lấy lại 1x investment) hay đổi sang common stock. Nếu valuation của startup mà nhỏ hơn preference stack (total liquidity preference from all rounds) thì coi như là tèo (tại vì sẽ ko thể raise thêm tiền hay go IPO được)
Năm vừa rồi các public company đều bị giảm valuation, nên revenue multiple cho các startup cũng bị adjust, rất nhiều startup rơi vào 1 trong 2 trường hợp trên.

Patent Filling
- Mình thấy patent attorney không đơn thuần chỉ viết cái app cho mình không mà nhiều người còn rất knowledge về cái domain cụ thể của patent app nên thay vì tìm 1 patent attorney chung chung mình thấy tốt hơn là tìm attorney có kinh nghiệm về domain cụ thể nào đó mà bạn quan tâm thì họ làm cho mình sẽ nhanh hơn.

- Em nghĩ là tuỳ loại patent và độ phức tạp. Trước em file với Trademarkia giá rất rẻ, response time nhanh nhưng vì độ phức tạp của requirement là không cao nên thấy thế cũng ok rồi, ko biết hậu quả sao vì chưa có hậu quả.
- Vài năm trước mình có filed trademark thông qua trường Lincoln Law School San Jose https://lincolnlawschool.edu/ip-studies/. Trường có chương trình thực tập filing IP cho sinh viên luật dưới sự giám sát và review doc của professor. Mình chỉ gặp sinh viên 1 lần buổi đầu tiên, sau đó thì toàn làm trực tiếp với professor (cũng là attorney ở một IP law firm lúc đó, bây giờ cô ấy đang làm ở legal dept của Adobe). Mình chỉ trả tiền phí cho USPTO thôi chứ không mất phí luật sư gì. Patent thì phức tạp và lâu hơn Trademark nhiều nên không rõ trường có nhận không. It doesn't hurt to ask the director

Trước đây mình emailed tất cả các trường trong list nhận làm cho CA mà chỉ có 2 trường trả lời thôi nên không biết cái list này có up to date không. - Here is a list of patent firms recommended by a patent attorney from my company (in no particular order):
Xin Schengen Visa (Europe) và Japan
Schengen Visa: trong khối Schengen thì hồ sơ đều như nhau cả, nhưng mỗi nơi cho 1 length of stay và hạn visa khác nhau. Dài nhất (1 năm hạn và 90 ngày ở schengen, multiple entries) là Thuỵ Sỹ, Pháp (6 tháng và 30 ngày, multiple entries - họ còn bảo mình lần sau xin mang cái bank account tầm 10-20k thì sẽ có hạn dài hơn 😁), TBN, TD và Ý đều chỉ cho 3 tháng visa với 15-20 ngày stay gần như sát lịch mình xin. Nước xin là nơi nhập cảnh đầu tiên hoặc nơi ở dài nhất trong chuyến đi (check thông tin trước khi chọn LSQ nộp hồ sơ).
Trong trường hợp cần gấp nhưng không có available appointment online: bạn gọi điện đến sứ quán họ sẽ try to find an appointment for you, or give you a recommendation which consulate may be okay - you can also directly call the consulates in SF or New York, for example. People also cancel their appointments at the last minute, so check the website everyday frequently.
Japan:
- Trước đây mình xin visa Nhật toàn chỉ được 1 entry mấy tháng thôi, nhưng sau này các bác lãnh sự có thủ thỉ với mình là có thể nói lúc apply là xin multiple entries, và viết lý do (thường thì minh viết là do công việc ở Tokyo và về VN cũng hay transit qua Nhật).
- Mình cũng mới xin visa Nhật 5 năm, mỗi lần nhập cảnh được 1 tháng. Phí không chênh lệch bao nhiêu so với hồ sơ visa 1 lần. Hồ sơ thật ra lại ít hơn so với xin 1 lần vì không cần phải làm lịch trình chi tiết cho chuyến đi nữa. Chỉ có bổ sung thêm tờ lí do xin thị thực nhiều lần. Ô ck mình để lí do đơn giản là: We will visit Japan multiple times in the future. Visa này sẽ khá tiện cho mọi người đi thăm quan, hoặc transit mà muốn đi ra ngoài (hoặc đổi sân bay Narita <-> Haneda khi transit) nên mọi người có thể cân nhắc thêm nha.
